Setting Up a Family Office in Cyprus: Jurisdiction and Structure

A jurisdiction and structuring guide for family principals assessing Cyprus: residency, holding entities, regulatory perimeter, substance, succession vehicles, and cross-border coordination.

Why Cyprus for a Family Office?

Cyprus has moved well beyond its historic reputation as a pure corporate holding jurisdiction. For family offices — particularly those managing diversified investment portfolios, operating business interests, and multi-generational wealth — Cyprus offers a combination of advantages that very few jurisdictions can match simultaneously: tax efficiency at both the corporate and personal level, EU regulatory access, a common law legal system, and a stable, well-resourced professional services community.

The Non-Dom Regime

The most significant personal tax advantage Cyprus offers to internationally mobile high-net-worth individuals is the Non-Dom regime. Under this framework, individuals who are Cyprus tax residents but not domiciled in Cyprus are exempt from Special Defence Contribution (SDC) — the levy that applies to dividend income (5% from 1 January 2026, with transitional rules potentially applying 17% to dividends from pre-2026 profits) and interest income (17%) — for up to 17 years. GeSY/GHS contributions may apply.

For a family office principal who is receiving distributions from a portfolio of investments held through Cyprus structures, this exemption can eliminate Cyprus-level taxation on those distributions entirely. Combined with the zero withholding tax on outbound dividends from Cyprus companies, the effective tax cost on extracting profits from a Cyprus-based family office structure can be very low.

Holding Company Advantages

The Cyprus holding company sits at the heart of most family office structures. Key advantages include:

  • Full participation exemption on dividends received from qualifying subsidiaries — dividends flow up to the Cyprus holding company tax-free
  • Zero capital gains tax on the disposal of shares in companies (subject to the immovable property exception)
  • Zero withholding tax on dividends paid by the Cyprus company to its shareholders
  • No capital gains tax on the disposal of securities listed on recognised stock exchanges
  • 65+ tax treaties reducing withholding on income from overseas investments

Investment Portfolio Management

Cyprus holding companies are widely used as the apex entity for managing diversified investment portfolios — listed equities, private equity interests, real estate through corporate vehicles, bond portfolios, and alternative investments. The zero capital gains tax on share disposals means that rebalancing the portfolio, exiting private investments, and receiving distributions from portfolio companies can all be managed in a highly tax-efficient manner.

Regulatory Optionality

For family offices that manage assets for multiple family members or third parties — activities that can trigger regulatory obligations in many jurisdictions — Cyprus offers a clear pathway to regulated status through a Cyprus Investment Firm (CIF) licence or an Alternative Investment Fund Manager (AIFM) registration. This allows the family office to operate in a compliant and transparent manner while retaining the tax and commercial advantages of a Cyprus base.

Succession Planning

Cyprus does not impose inheritance or estate tax. Combined with the ability to establish Cyprus international trusts — which can provide asset protection and succession planning advantages — Cyprus offers a comprehensive toolkit for intergenerational wealth transfer planning. Cyprus international trusts can hold assets globally, be governed by Cyprus law, and provide flexible benefit arrangements for family members across multiple generations.

Practical Considerations

Establishing a Cyprus family office structure requires genuine substance — real decision-making in Cyprus, qualified local directors, appropriate advisory relationships, and, for the individual principals seeking Non-Dom status, genuine Cyprus tax residency. The Non-Dom regime is available for 17 years and requires the individual to be a Cyprus tax resident but not domiciled in Cyprus.

The specific structure will depend on the family's existing arrangements, the jurisdictions in which assets are held, the tax position of the home country from which family members are relocating, and the long-term succession objectives. A properly designed Cyprus family office structure should be fully documented, substance-backed, and coordinated with advisers in all relevant jurisdictions.
